These Terms govern your access to and use of the Flykup platform — including livestream commerce, auctions, flash sales, shoppable videos, giveaways, and all related services operated by Kaps NextGen Private Limited.
Welcome to Flykup. These Terms and Conditions (“Terms”) govern your access to and use of the Flykup platform, website, mobile applications, livestream commerce services, auctions, flash sales, shoppable videos, giveaways, and related services (collectively, the “Platform”).
Flykup is a trademark brand operated by Kaps NextGen Private Limited.
⚠️ By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, please discontinue use of the Platform immediately.

Definitions
Flykup / we / our / us
Kaps NextGen Private Limited operating under the trademark brand name Flykup.
Platform
The Flykup website, applications, livestream systems, and associated services.
User
Any person accessing or using the Platform.
Seller
Any creator, reseller, business, or individual offering products or services through the Platform.
Buyer
Any user purchasing or attempting to purchase products/services through the Platform.
Content
Livestreams, videos, chats, comments, images, graphics, audio, product listings, and all uploaded or transmitted material.
Eligibility
To use the Platform, you must:
Flykup reserves the right to refuse access, suspend accounts, or terminate services for users violating eligibility requirements.
Platform Nature and Intermediary Status
Flykup is a technology and commerce facilitation platform that enables interactions between buyers and sellers through livestream commerce and related tools. Unless explicitly stated otherwise:
Flykup is not the direct seller, manufacturer, distributor, or owner of listed products.
Product listings, descriptions, pricing, warranties, fulfillment, and representations are solely the responsibility of sellers.
Flykup acts as an intermediary platform and is not liable for seller conduct, product authenticity, delivery failures, or disputes between users and sellers.
Account Registration and Security
Users may be required to create accounts to access certain Platform features. Users agree to:
Accurate Information
Provide accurate and current information during registration.
Credential Security
Maintain confidentiality of login credentials at all times.
Account Responsibility
Accept responsibility for all activities performed under their account.
Users must immediately notify Flykup of unauthorized access or suspicious account activity. Flykup shall not be liable for losses arising from unauthorized use caused by user negligence.
Livestream Commerce Services
Flykup may provide a range of livestream commerce capabilities:
Flykup may modify, suspend, or discontinue any feature at its sole discretion. Platform availability, livestream quality, and performance may vary. Flykup does not guarantee uninterrupted or error-free service.
Seller Responsibilities
Sellers are responsible for
- Product authenticity and legality
- Product quality and safety
- Accurate descriptions and pricing
- Shipping and fulfillment
- Customer support obligations
- Legal compliance
- Tax/GST compliance and invoicing
Sellers shall not
- Sell prohibited, counterfeit, illegal, or restricted products
- Mislead buyers
- Engage in fake scarcity or deceptive urgency tactics
- Manipulate auctions or bids
- Conduct fraudulent transactions
- Use bots, fake engagement, or artificial activity
- Violate intellectual property rights
Flykup reserves the right to remove listings, suspend seller accounts, withhold settlements, cancel events, and report unlawful conduct without prior notice.
Buyer Responsibilities
Buyers agree to
- Provide accurate payment and delivery information.
- Make genuine purchases and bids.
- Avoid abusive or fraudulent behavior.
- Follow livestream and community rules.
Review before purchase
- Product details and descriptions
- Pricing and applicable charges
- Shipping terms and timelines
- Seller policies and return conditions
Flash Sales and Time-Limited Events
Flykup may host flash sales, timed drops, limited inventory offers, and event-based commerce activities.
Countdowns and stock levels may update dynamically in real time.
Inventory availability is not guaranteed until successful order confirmation.
Purchases may fail due to stock exhaustion, payment failure, or technical limitations.
Flykup reserves the right to cancel orders, modify pricing, suspend events, or reverse transactions in cases involving fraud, abuse, technical failures, pricing errors, or inventory conflicts.

Users acknowledge
- Bids may be legally binding.
- Sellers may set reserve prices below which products may not be sold.
- Auctions may automatically extend when bids are placed near closing time.
- Flykup may invalidate suspicious or fraudulent bids.
- Flykup may suspend auctions affected by technical failures or manipulation.
Users shall not
- Place fake bids
- Self-bid on own listings
- Manipulate bidding activity
- Collude with others to distort auction outcomes
Flykup is not liable for bid timing issues, latency, network delays, or livestream interruptions. Server-side records maintained by Flykup shall be considered final in auction disputes.
Giveaways and Promotional Campaigns
Flykup or sellers may conduct giveaways, promotional events, rewards campaigns, and engagement-based activities. Participation does not guarantee winning. Winners may be selected randomly, algorithmically, or based on publicly disclosed event rules.
Users may not exploit promotions using fake accounts, bots, automated participation, or deceptive methods. Flykup reserves the right to modify, suspend, cancel, or disqualify participants in cases involving fraud, abuse, or technical issues.
Payments and Checkout
Payments are processed through authorized third-party payment providers. Users authorize Flykup and its payment partners to process transactions, store payment tokens where legally permitted, and handle settlements and refunds.
Instant Checkout
Certain features enable one-tap purchasing and pre-authorized payment flows. Purchases may complete immediately without additional confirmation.
Valid Payment Methods
Users are responsible for maintaining valid payment methods and ensuring sufficient balance before purchasing.
Order Review
Users are responsible for reviewing all order details, product descriptions, and pricing before completing a purchase.
Shipping, Returns, and Refunds
Shipping obligations primarily rest with sellers unless otherwise specified. Estimated delivery timelines are indicative and not guaranteed.

Refunds may be denied for
- Abuse or fraudulent claims
- Damaged returns
- Policy misuse
Flykup reserves the right to investigate refund disputes before issuing resolutions.
User Content and Livestream Conduct
Users may upload / transmit
- Livestreams
- Videos
- Chat messages
- Comments
- Images
- Product content
Users shall not
- Post unlawful, abusive, hateful, defamatory, or harmful content
- Impersonate others
- Harass users
- Spread malware or spam
- Violate intellectual property rights
- Conduct scams or deceptive livestreams
Content License
By uploading or streaming content on Flykup, users grant Flykup a worldwide, non-exclusive, royalty-free license to:

Display
Reproduce
Distribute
Promote
Clip
Market
This license applies in connection with Platform operations, promotions, and services. Users retain ownership of their original content subject to this license.
Simulcast and Third-Party Integrations
Flykup may provide integrations with third-party platforms including social media services. Flykup does not guarantee uninterrupted integrations, platform compatibility, API availability, or third-party platform performance.
Third-party platforms may independently restrict streams, suspend accounts, modify APIs, or limit integrations. Flykup shall not be liable for losses caused by third-party platform actions.
Intellectual Property
All Platform technology, branding, trademarks, software, interfaces, and designs associated with Flykup are owned by or licensed to Kaps NextGen Private Limited. Users may not:

Limitation of Liability
To the maximum extent permitted by applicable law, Flykup shall not be liable for:
Indirect or consequential damages
Loss of profits
Loss of reputation
Data loss
Business interruption
Seller losses
Audience performance
Livestream engagement outcomes
Failed sales or user disputes
Use of the Platform is at the user's own risk.
Indemnification
Users agree to indemnify and hold harmless Kaps NextGen Private Limited, its directors, employees, affiliates, partners, and licensors from claims arising out of:
Suspension and Termination
Flykup may
- Suspend accounts
- Terminate services
- Cancel events
- Freeze payouts
- Restrict platform access
Grounds for action
- Policy violations
- Fraudulent conduct
- Suspicious activity
- Legal compliance requirements
Users may request account deletion subject to pending obligations and applicable legal requirements.
Privacy
Use of the Platform is also governed by the Flykup Privacy Policy. By using the Platform, users consent to the collection and processing of information as described in the Privacy Policy.

Governing Law
These Terms shall be governed by the laws of India.
Amicable Resolution
Disputes shall first attempt to be resolved amicably through communication with Flykup support.
Jurisdiction
If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Coimbatore, Tamil Nadu, India.
Changes to Terms
Flykup reserves the right to modify these Terms at any time.
Updated Terms become effective upon posting on the Platform.
Continued use of the Platform after updates constitutes acceptance of revised Terms.
